1. Who we are

The Vinely (the “Service”) is operated by The Vinely (“we”, “us”, “our”). By creating an account or using the Service you agree to these Terms.

2. Merchant of Record

Payments for paid plans are processed by Paddle.com Market Ltd, who acts as the Merchant of Record for all orders. Paddle handles billing, tax collection, refunds and chargebacks on our behalf. Their terms apply at checkout.

3. Accounts

You must provide accurate information, keep your password confidential, and are responsible for activity under your account. You must be at least 18 years old and authorized to enter into this agreement.

4. Acceptable use

You agree not to:

• Use the Service to send spam, harass, or contact people who have not consented.
• Upload unlawful, infringing, or harmful content.
• Attempt to reverse-engineer, scrape, or disrupt the Service.
• Use the Service to provide regulated financial, legal, or appraisal advice unless you are licensed to do so.

5. Subscriptions, trials and billing

Paid plans renew automatically until canceled. Free trials convert to paid plans at the end of the trial period unless canceled. Pricing is shown at checkout. You can cancel at any time from your account or via the Paddle receipt link.

7. Intellectual property

We retain all rights in the Service, including software, design, logos and content we provide. You retain ownership of content you upload; you grant us a license to host and display it solely to operate the Service for you and your clients.

8. Third-party services

The Service integrates with third parties (e.g. property data providers, mapping, email/SMS delivery, AI providers). Their terms apply to information shared with them.

9. Suspension and termination

We may suspend or terminate accounts that violate these Terms, abuse the Service, or fail payment. You may close your account at any time; subscription fees already paid are non-refundable except as set out in the Refund Policy.

10. Disclaimers

The Service is provided “as is”. Estimated home values, market data and AI output are informational only and not a substitute for a licensed appraisal, legal advice, or financial advice.

11. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim relating to the Service is limited to the amounts you paid us in the 12 months preceding the claim.

12. Changes

We may update these Terms. Material changes will be notified by email or in-app. Continued use after the effective date constitutes acceptance.
